From compliance to collaboration
A recent BestofBiz briefing covered the role played by non-executive directors in increasing shareholder value by ensuring that the company on whose board they sit complies with current corporate governance codes and regulations. Latest thinking: compliance-based best practice may well increase the chances of improved corporate performance and shareholder value but may not in itself be sufficient to achieve this result. As long as adversarial or dysfunctional relationships exist between the chief executive and the board as a whole and/or between the executive and non-executive directors, there are limits to the effectiveness of the board. The next step: dynamics-based best practice : improving corporate performance and thus increasing shareholder value by increasing the effectiveness of the board itself as a group or team and improving the performance of individual board directors. ...
